1. Acceptance of Terms

By accessing or using the website and services of Teckas Technologies Pvt. Ltd. ("Teckas," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These terms constitute a legally binding agreement between you and Teckas Technologies Pvt. Ltd. regarding your use of our website and managed remote staffing services.

2. Services Description

Teckas Technologies Pvt. Ltd. provides managed remote staffing services for businesses in the United States, Canada, Europe, and Mexico. Our services include, but are not limited to:

• Recruitment and sourcing of qualified remote professionals based in India
• Comprehensive vetting and screening of candidates
• Full employment of remote professionals under Indian labor law
• Human resources management and support
• Payroll processing and compliance
• IT equipment setup and infrastructure provisioning
• Ongoing management, performance reviews, and account support

Our remote professionals work full-time (40 hours per week) and are dedicated exclusively to your business during their engagement.

3. Service Engagement

All service engagements begin after a discovery call between you and our team, followed by mutual written agreement on the scope, roles, and terms of the engagement.

Engagements operate on a month-to-month basis. There are no long-term contracts or lock-in periods. Either party may terminate the engagement with 30 days written notice to the other party.

Upon termination, we will facilitate a smooth transition and handover process to minimize disruption to your operations.

4. Pricing and Payment

Monthly fees for our services are agreed upon during the engagement process and documented in your service agreement. Key payment terms include:

• Fees are invoiced and due on the first of each calendar month
• There are no setup fees, onboarding fees, or hidden charges
• Payment is accepted via bank transfer, wire transfer, or other methods as agreed
• Late payments may incur additional charges as outlined in your service agreement
• Pricing may be adjusted with a minimum of 30 days written notice to the client

5. Client Responsibilities

To ensure a successful engagement, you as the client agree to:

• Provide clear and detailed role requirements, job descriptions, and performance expectations
• Provide reasonable and timely access to the tools, systems, and platforms your remote staff need to perform their duties
• Treat all remote staff professionally and respectfully, consistent with your company values and applicable workplace standards
• Provide timely and constructive feedback on performance and deliverables
• Communicate work schedules, priorities, and any changes in a timely manner

6. Our Responsibilities

Teckas Technologies Pvt. Ltd. commits to the following responsibilities:

• Source, vet, and present qualified candidates who match your role requirements and company culture
• Handle all employment, HR, payroll, and legal compliance obligations in India
• Provide IT equipment, software, and infrastructure necessary for remote work
• Assign a dedicated account manager to serve as your primary point of contact
• Conduct regular performance reviews and provide ongoing management support
• Provide a free replacement if a hire does not work out at any point during the engagement

7. Replacement Guarantee

We stand behind every placement we make. If a placed professional is not the right fit for your team, we will source and onboard a replacement at no additional cost to you.

Additionally, within the first 30 days of a new placement, if you are not satisfied with the professional for any reason, you may request a full refund of fees paid for that placement period. This 30-day satisfaction guarantee applies to each new hire.

Replacement requests should be communicated to your dedicated account manager, and we will begin the sourcing process immediately.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or business-critical information shared during the course of the engagement. This includes, but is not limited to, business strategies, client data, financial information, and trade secrets.

All remote professionals placed through Teckas sign comprehensive non-disclosure agreements (NDAs) before the start of any engagement. These NDAs protect your intellectual property and confidential business information.

Teckas Technologies Pvt. Ltd. complies with India's Digital Personal Data Protection (DPDP) Act, 2023, and takes all reasonable measures to protect personal and business data in accordance with applicable data protection regulations.

9. Intellectual Property

All work product, deliverables, code, designs, documents, and any other materials created by remote professionals during the course of their engagement belong exclusively to the client.

Teckas Technologies Pvt. Ltd. retains no rights, claims, or ownership interest in any work product created by remote staff for your business. All intellectual property rights are assigned to you upon creation.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Teckas Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services.

This includes, but is not limited to, damages for loss of profits, revenue, data, business opportunities, or goodwill, even if Teckas has been advised of the possibility of such damages.

Our total cumulative liability for any and all claims arising out of or related to these terms or our services shall not exceed the total fees paid by you to Teckas in the three (3) months immediately preceding the event giving rise to the claim.

11. Non-Solicitation

The client agrees not to directly hire, employ, engage, or solicit any professional placed through Teckas outside of our engagement for a period of twelve (12) months following the end of the engagement with that professional.

If the client wishes to directly employ a placed professional, a buyout fee may apply as outlined in the service agreement. This clause is intended to protect the investment made in sourcing, vetting, and managing talent.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these terms shall be resolved through binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996. Both parties agree to submit to the exclusive jurisdiction of the arbitration proceedings.

13. Modifications

Teckas Technologies Pvt. Ltd. reserves the right to update or modify these Terms of Service at any time. We will provide at least 30 days written notice of any material changes via email or through our website.

Your continued use of our website or services after the effective date of any modifications constitutes your acceptance of the updated terms. If you do not agree with the modified terms, you may terminate your engagement in accordance with Section 3.
